These Terms and Conditions ("Terms") govern your use of Unique FinanceGPT (the "Service") provided by UNIQUE ("We," "Us," or "Our"). By accessing or using the Service, you ("You" or "End User") agree to comply with these Terms. Please read these Terms carefully before using the Service.
1. Protection of Confidential Information
1.1 It is strictly prohibited to to transmit any data to the Service which may not be transmitted to or processed by the Service due to data protection laws, contractual or statutory confidentiality obligations, export restrictions or other statutory provisions or third-party rights. This also includes any Client-identifying data (CID), PII or other personal data.
1.2 You are solely responsible for ensuring the privacy and security of any data you input or generate using the Service.
2. Acceptable Use
2.1 You acknowledge that the Service is intended for legitimate and lawful purposes. You agree not to use the Service for any illegal, abusive, harmful, or unauthorized purposes.
2.2 You must not use the Service to generate or share content that is offensive, discriminatory, defamatory, or infringing upon the rights of any third party, including intellectual property rights.
2.3 You must adhere to the code of coduct from Microsoft: Code of Conduct for the Azure OpenAI Service | Microsoft Learn)
2.4 You must not insert malicious content in form of malware, prompts, executable code into the system to gain access to PII, prompts or infrastructure.
2.5 To ensure the stability and security of our platform, we prohibit load testing, penetration testing, performance testing or any form of testing that can degrade or interrupt the Service without prior notice. You agree to notify us at least one week in advance, specifying the type and scope of the test, and await our written confirmation before proceeding. Non-compliance may lead to temporary suspension or termination of access to the Service.
3. Accuracy of AI Generated Content
3.1 You acknowledge and agree that the utilization of the service presents opportunities for enhanced communication and efficiency, as well as potential risks related to accuracy, confidentiality, and unintended outcomes, and therefore the end user has to carefully review any outcomes and implement appropriate safeguards while utilizing the service.
3.2 You understand and acknowledge that the content generated by the Service may not be 100% accurate, complete, or error-free as it is a generative AI Service.
3.3 The end user acknowledges and agrees that the AI-generated outcomes of the service may require review, adjustment, modification, or deletion in accordance with applicable laws, internal policies, and procedures, and undertakes to assume full responsibility for such actions
3.4 You are solely responsible for reviewing and verifying the accuracy, completeness, and suitability of the content generated by the Service before using, sharing, or acting upon it.
4. Limitation of Liability
4.1 You acknowledge that the use of the Service is at your own risk. We shall not be liable for any damages, losses, or liabilities arising out of or in connection with the use or misuse of the Service.
4.2 You agree to indemnify and hold us harmless from any claims, losses, liabilities, damages, or expenses (including legal fees) arising out of your use of the Service in violation of these Terms or applicable laws.
4.3 Third party data: Where you enter data from third parties into the Service, you shall ensure that there are no restrictions on such data input or you have otherwise obtained the requisite authorization and/or consent.
5. Compliance with Laws
5.1 You shall comply with all applicable laws, regulations, internal company policies and third-party rights when using the Service
5.2 You shall not use the Service to engage in any activity that violates intellectual property rights, privacy rights, or any other rights of others.
6. Modification of Terms
We reserve the right to modify these Terms. Any modifications will be effective upon notifying you through the Service.
7. Termination
We may terminate your access to the Service if you violate these Terms or engage in any abusive, harmful, or unauthorized use of the Service.
8. Updating our Terms
We are constantly working to improve our services and develope new features to make our products better. As a result, we may need to update these Terms & Conditions from time to time to accurately reflect our services. We will only make changes of the provisions are no longer appropriate or if they are incomplete, and only if the changes are reasonable and take due account of user’s interest.
We will notify you of the changes to these Terms & Conditions unless the changes are required by law. Once any updated Terms & Conditions are in effect, you will be bound by them if you continue to use our Service.
9. Governing Law
These Terms shall be governed by and construed in accordance with Swiss law. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of Zurich, Switzerland.
By using the Service, you acknowledge that you have read, understood, and agree to these Terms. If you do not agree to these Terms, you must refrain from using the Service.
